MN Saab Club Annual Business Meeting 4/7/2022

Meeting called to order at 7:07pm

Introductions and overview of Agenda - explanation of club history, past decisions on official operations, need for board re-election, and introducing the topic of winding down official structure of the club.

Jim Hickstein explains tax responsibility, legal details of current club structure, and benefits offered by being a paying member. Explains issues of cost to keep club running, specifically club site, paying service, etc.

Jim/Jack propose either finding new board as current board is stepping down or terminating the formality of the club due to lack of candidates, funding, and increasing cost of services necessary to keep the club running.

Proposals:

  1. Someone must establish an EIN and 501c7 to keep the legal/financial side of the club active, or
  2. the formal structure of the club must cease, close the bank account, and no longer collect dues. The Facebook group would remain active, and the club would be more of a social group than a structured club with officers and bylaws. An email list can be maintained, along with a website, volunteer programs like Adopt a Highway, etc…

Jack speaks in favor of eliminating dues and taking the formality out of the equation, but having a point of contact to coordinate events and keep the email recipient list up to date for the benefit of those not on Facebook. Jack proposes a vote to decide the fate of the club.

Jim makes the motion, Bill seconds it: Eliminate the bylaws, close the bank account, and terminate the formal structure of Officers and a Board / Directors. The motion carried unanimously.

A discussion follows on what to do with the club funds of approximately $800.00. It is agreed without objection and unanimously: Continue simple web hosting for 10 years that directs people to the FB group and Email subscription, and offer refunds to new/repaying members up to 2 months back. Leftover funds remaining will be donated to the Saab Heritage Museum in Sturgis, SD.

Adopt a Highway: What to do to with our section? Jim mentions someone must take the responsibility to coordinate with the contact person at Dakota county, take ownership of the Adopt a Highway “box” and bring it to cleanup events, also create cleanup events twice every year. No decision necessary at time of meeting. Jack suggests a Facebook page admin would be the coordinator for these events as listed above. Worst case scenario, Dakota county notices the cleanups are not happening, and they give away the section of highway. Aaron Erickson volunteered to be custodian of the “box” and facilitate the events for at least 1 year.

Upcoming Events:

Jack, Colton volunteered to stay as admins on the Facebook page. A post will be made on Facebook asking for more volunteers.
